These Terms of Service ("Terms") govern your use of the Bidalize website and application ("the Service"), provided by Vorapure UK Ltd ("Bidalize", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you are agreeing on behalf of a company, you confirm you have authority to bind that company.
1. The Service
Bidalize helps you collect, read, compare, score, and award supplier quotes, and to route decisions for approval. The Service is provided on a subscription basis and is offered "as is". We may improve, change, or discontinue features over time.
2. Your account
- You must provide accurate registration details and keep your password secure.
- You are responsible for activity under your account and for your team members' use.
- The first user to register an organisation is its Administrator and controls who else may join.
- You must be at least 18 and using the Service for business purposes.
3. Acceptable use
You agree not to misuse the Service. Full details are in our Acceptable Use Policy, which forms part of these Terms. In summary, you must not use the Service unlawfully, upload content you have no right to share, attempt to break its security, or resell it without our agreement.
4. Your content
You retain all rights to the quotes, documents, and data you upload ("Your Content"). You grant us a limited licence to store and process Your Content solely to provide the Service to you, including processing it through the AI providers described in our Privacy Policy. You are responsible for ensuring you have the right to upload Your Content and that doing so does not breach any confidentiality obligation you owe to a third party.
5. Subscriptions, trials, and payment
- Free trial. New accounts include a 14-day free trial with no card required. Full features are available during the trial.
- Plans. Paid plans are charged monthly — Starter (up to 2 users) and Team (up to 5 users) — at the prices shown on our pricing page. Larger teams are by arrangement.
- Billing. Payments are processed by Paddle, who act as Merchant of Record and reseller. Paddle's own terms apply to the payment transaction, and your receipt and invoices come from Paddle.
- Renewal & cancellation. Subscriptions renew automatically each month until cancelled. You may cancel at any time; your plan remains active until the end of the paid period, and it will not renew after that.
- Refunds. Except where required by law, monthly fees already paid are non-refundable.
- Price changes. We may change prices with reasonable notice; changes apply from your next renewal.
6. Approvers
The Service lets you send approval requests to people who do not hold accounts ("Approvers"), who decide via a secure one-time link. You are responsible for ensuring you are entitled to send an Approver's email address to us for this purpose.
7. Availability
We aim to keep the Service available and reliable but do not guarantee uninterrupted access. We may suspend the Service for maintenance, or where necessary to protect its security or integrity.
8. AI-generated content and your responsibility
Bidalize uses artificial intelligence to extract information from supplier documents and to generate scores, rankings, recommendations, and negotiation suggestions. Artificial intelligence can and does make mistakes, including misreading prices, dates, quantities, and other terms, particularly where source documents are unclear, handwritten, use unusual layouts, or contain multiple languages.
All output generated by the Service is provided for information and decision-support purposes only. It does not constitute professional, financial, procurement, or legal advice, and must not be relied upon as such. You are solely responsible for reviewing and verifying all information produced by the Service, and for any procurement or business decision you make using it. We flag low-confidence readings for your review, but the final decision is always yours.
To the fullest extent permitted by law, Vorapure UK Ltd shall not be liable for any loss or damage arising from your reliance on AI-generated output, including any inaccuracy in the reading of a document or in any score, ranking, recommendation, or suggestion. Nothing in this clause limits liability that cannot be excluded by law.
9. Intellectual property
The Service, its software, and its branding are owned by Vorapure UK Ltd. These Terms do not transfer any ownership in the Service to you. You may not copy, modify, reverse-engineer, or create derivative works of the Service.
10. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to it or others. On termination, your right to use the Service ends and your content is handled as described in our Privacy Policy.
11. Limitation of liability
Nothing in these Terms excludes liability that cannot be excluded by law (such as for death or personal injury caused by negligence, or fraud). Subject to that:
- The Service is provided without warranties of any kind, to the fullest extent permitted by law.
- We are not liable for indirect or consequential loss, loss of profit, loss of business, or loss of data.
- Our total liability to you in any 12-month period is limited to the amount you paid us for the Service in that period.
Because the Service is decision-support, we are not liable for the outcome of procurement decisions you make using it.
12. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and, for material changes, notify you by email or in the app. Continued use after changes take effect means you accept them.
13. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that if you are a consumer you may benefit from mandatory protections of your country of residence.
